Welcome to LumpSum Plus, Inc. ("LumpSum Plus," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you and LumpSum Plus governing your access to and use of our website, mobile applications, and services (collectively, the "Services"). Please read these Terms carefully before using our Services.
IMPORTANT: These Terms contain an arbitration agreement and class action waiver that affect your legal rights. Please read Section 15 (Dispute Resolution) carefully.
1. Acceptance of Terms
1.1 Agreement to Terms
By accessing or using our Services, creating an account, or clicking "I agree" or similar acceptance mechanism, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
1.2 Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our Services. If you are using our Services on behalf of an organization (for B2B services), you represent and warrant that you have the authority to bind that organization to these Terms and that the organization is a valid legal entity.
1.3 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we will also notify you via email or through the Services. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
2. Definitions
In these Terms, the following definitions apply:
- "Account" means your registered user account with LumpSum Plus, which may be either a B2B Program Account (for employers) or a B2C User Account (for employees).
- "B2B Program" means LumpSum Plus's service offering for corporate clients, including policy builder, wallet provisioning, employee data management, analytics, and recovery services.
- "B2C Services" means LumpSum Plus's service offerings for individual employees, including AI-powered move planning, budget tracking, supplier marketplace access, and vendor booking.
- "Content" means any text, images, data, documents, or other materials you submit through our Services.
- "Customer" or "you" means any individual or entity that accesses or uses our Services, whether as a B2B Program participant or B2C User.
- "Managed Wallet" means the allocated moving budget provisioned by a B2B Program employer or established by a B2C User, held and managed through LumpSum Plus's platform.
- "Services" means all products, services, and features offered by LumpSum Plus, including B2B Program management tools and B2C employee mobility services.
- "Supplier" or "Vendor" means third-party service providers (moving companies, temporary housing services, relocation specialists) that users may engage through our marketplace or booking platform.
- "User" means any individual accessing the Services, including B2C end users and B2B Program participants.
3. Services Description
3.1 Overview
LumpSum Plus provides comprehensive mobility and relocation management services through both B2B employer programs and B2C employee tools. Our Services include:
- B2B Program Management: Policy configuration, employee data provisioning, managed wallet setup, program analytics, and recovery coordination for corporate relocation programs
- B2C AI Move Planning: Intelligent relocation planning tools and budget optimization
- Supplier Marketplace: Curated access to vetted moving companies, housing providers, and relocation services with negotiated rates
- Vendor Booking: Direct booking capabilities for moving services, temporary housing, and relocation support
- Budget Tracking: Real-time expense monitoring and managed wallet management
3.2 Intermediary Role
LumpSum Plus acts as a platform and intermediary connecting users with third-party service suppliers. While we carefully vet our supplier partners and maintain quality standards, the actual services are performed by independent suppliers who are responsible for service delivery. LumpSum Plus does not provide the underlying relocation, moving, or housing services directly.
3.3 Service Availability
Our Services are currently available in the continental United States. Service availability, pricing, and features may vary by location and are subject to change without notice.
4. Account Registration
4.1 Account Creation
To access our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information, including employment status and relocation eligibility
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
- Represent that you meet all eligibility requirements for the services you are accessing
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. LumpSum Plus will not be liable for any loss or damage arising from your failure to protect your account information.
4.3 One Account Per Person
You may only maintain one personal account. We reserve the right to terminate duplicate accounts and any accounts created to circumvent our policies.
4.4 Account Credentials
You agree not to share, sell, or transfer your account credentials to any other person. Account credentials are strictly personal and non-transferable. Any unauthorized use or sharing of credentials is prohibited and will result in immediate account termination.
5. B2B Program Terms
5.1 Program Setup and Governance
B2B Programs are established through a separate agreement between LumpSum Plus and the corporate employer ("Program Sponsor"). Program terms, including employee eligibility, benefits structure, and wallet funding levels, are configured by the Program Sponsor and managed through the LumpSum Plus policy builder.
5.2 Policy Configuration
The Program Sponsor is responsible for configuring all program policies, including:
- Employee eligibility criteria and enrollment processes
- Wallet allocation amounts and funding mechanisms
- Approved service categories and supplier restrictions
- Spending limits and authorization rules
- Recovery and reconciliation procedures
5.3 Employee Data and Privacy
The Program Sponsor may provision employee data through our secure platform. LumpSum Plus will handle all employee data in accordance with our Privacy Policy and applicable data protection laws. Employee data will be used solely for Program administration, wallet management, and analytics as configured by the Program Sponsor.
5.4 Wallet Provisioning and Funding
The Program Sponsor is responsible for provisioning managed wallets for participating employees and ensuring adequate funding. Wallet balances represent allocated moving budgets and must be used in accordance with the Program Sponsor's policies. Any shortfall or funding issues are the responsibility of the Program Sponsor.
5.5 Program Analytics and Reporting
LumpSum Plus provides analytics and reporting tools for Program Sponsors, including spending summaries, supplier utilization, and budget tracking. These analytics are provided for informational purposes only and do not constitute financial or tax advice.
5.6 Recovery and Reconciliation
LumpSum Plus assists with recovery processes for unused or disputed wallet balances in accordance with the Program Sponsor's policies. Recovery procedures will be documented in the Program Sponsor agreement. The Program Sponsor remains responsible for all collection and reconciliation efforts.
6. B2C User Terms
6.1 Service Tiers
LumpSum Plus B2C Services are available in two tiers:
- Free Tier: Includes move calculator, basic AI move planning, and access to educational resources
- Premium Tier ($49 per move): Includes advanced AI move planning, unlimited supplier marketplace access, vendor booking coordination, budget tracking, and priority support
6.2 Premium Subscription
Premium Tier users must be in an active relocation (scheduled move date within 6 months of subscription). The Premium subscription fee ($49) is charged on a per-move basis. Each relocation is treated as a separate, new move for subscription purposes. Subscriptions are non-transferable between moves or users.
6.3 Supplier Marketplace Access
The supplier marketplace provides access to vetted moving companies, temporary housing providers, and relocation services with negotiated rates exclusive to LumpSum Plus users. Marketplace suppliers are independent third parties. LumpSum Plus does not guarantee supplier availability, quality of service, or savings amounts. All supplier selections and bookings are at the user's sole discretion.
6.4 Vendor Booking
Users may book vendors directly through the platform. LumpSum Plus acts as a facilitator only. We do not control vendor performance, pricing, or service quality. All terms, conditions, and pricing are negotiated directly between you and the vendor. LumpSum Plus is not liable for vendor performance, cancellations, or disputes.
6.5 No Guarantee of Savings
While we provide tools to track and optimize your moving budget, LumpSum Plus does not guarantee any specific savings amounts, cost reductions, or favorable pricing. Actual costs depend on your location, specific services needed, and market conditions. Use of our tools and marketplace is at your own discretion and risk.
7. Payment Terms
7.1 B2B Program Invoicing
B2B Program Sponsors are invoiced based on the terms outlined in their Program Agreement, which may include:
- Flat monthly or annual fees
- Per-employee provisioning fees
- Usage-based fees tied to wallet provisioning or transaction volume
- Platform access and support fees
7.2 B2C Payment
B2C Users pay a one-time Premium subscription fee of $49 per move. Payment is collected at the time of Premium Tier subscription. We accept major credit cards and debit cards. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the subscription fee.
7.3 Vendor and Supplier Payments
Payments to vendors and suppliers for booked services are processed separately from LumpSum Plus subscription fees. Vendor payments may be collected by LumpSum Plus on behalf of suppliers or paid directly to the supplier. Users are responsible for reviewing and approving all vendor pricing before booking.
7.4 Tax Responsibility
You are solely responsible for determining and remitting any applicable taxes on services provided. LumpSum Plus does not calculate, collect, or remit taxes on your behalf. You may receive tax documentation for record-keeping purposes.
8. Managed Wallet Terms
8.1 Wallet Structure
Managed wallets represent allocated moving budgets held and managed through the LumpSum Plus platform. Wallet balances are not personal funds owned by the user and may have restrictions on use, transfer, and redemption as specified by the Program Sponsor or LumpSum Plus.
8.2 Wallet Use and Restrictions
Wallet funds must be used exclusively for approved relocation services as configured in the program policy. Prohibited activities include:
- Attempting to withdraw wallet funds as cash or personal money
- Using wallet funds for non-relocation purposes
- Transferring wallet funds to other users or accounts
- Selling, trading, or exchanging wallet balances
- Circumventing spending limits or policy restrictions
8.3 Expiration and Forfeiture
Wallet balances may expire according to the Program Sponsor's policies, typically after the approved relocation period. Unused wallet funds will be forfeited and returned to the Program Sponsor. LumpSum Plus is not responsible for unused or expired balances.
8.4 No Cash Value
Wallet balances have no cash value and cannot be exchanged for currency. Partial wallet balances cannot be consolidated or transferred between users or moves.
8.5 Wallet Reconciliation
Program Sponsors have the right to audit wallet usage and reconcile balances. LumpSum Plus will cooperate with reconciliation efforts and provide documentation of wallet transactions upon request.
9. Supplier Marketplace
9.1 Marketplace Nature
The supplier marketplace is a curated listing of vetted moving companies, housing providers, and relocation services. LumpSum Plus does not provide these services directly and is not responsible for supplier performance, pricing, availability, or quality.
9.2 Supplier Vetting
While we vet suppliers for basic qualifications and licensing, our vetting process does not guarantee quality, reliability, or customer satisfaction. LumpSum Plus makes no warranties about supplier performance or suitability.
9.3 Booking and Terms
When you book a supplier through the marketplace, you are entering into a direct service agreement with that supplier. All terms, pricing, cancellation policies, and service terms are negotiated between you and the supplier. LumpSum Plus facilitates the booking but is not a party to the service agreement.
9.4 Negotiated Rates
Some suppliers offer negotiated rates exclusive to LumpSum Plus users. These rates are provided by suppliers and may vary by service type, location, and date. No savings are guaranteed. Market rates may be lower or higher than marketplace pricing at any given time.
9.5 No Liability for Supplier Performance
LumpSum Plus is not liable for any disputes with suppliers, service failures, cancellations, quality issues, or pricing problems. All disputes with suppliers must be resolved directly with the supplier. LumpSum Plus will not mediate supplier disputes or guarantee refunds.
10. Limitation of Liability
10.1 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
10.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LUMPSUM PLUS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES
- DAMAGES CAUSED BY THIRD PARTIES, INCLUDING SUPPLIERS, VENDORS, OR PROGRAM SPONSORS
- FAILURE TO ACHIEVE EXPECTED SAVINGS OR COST REDUCTIONS
- SUPPLIER PERFORMANCE ISSUES, SERVICE FAILURES, OR QUALITY PROBLEMS
10.3 Cap on Liability
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO LUMPSUM PLUS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
10.4 Supplier and Vendor Liability
For claims related to supplier or vendor performance, quality, or service failures, your recovery is limited to claims against the supplier directly. LumpSum Plus will not be liable for any supplier performance issues. You acknowledge that suppliers maintain their own insurance and liability coverage.
10.5 No Warranty on Savings
LumpSum Plus makes no representation or warranty regarding any savings amounts, cost reductions, or favorable pricing through our marketplace or tools. Actual costs and savings depend on location, services needed, market conditions, and user choices.
10.6 Basis of the Bargain
The limitations in this Section reflect the allocation of risk between you and LumpSum Plus and form an essential basis of the bargain between us. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless LumpSum Plus and its officers, directors, employees, agents, affiliates, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any law or the rights of any third party
- Any Content you submit or transmit through the Services
- Your misrepresentation of eligibility or relocation status
- Your violation of wallet use restrictions
- Any disputes or claims with suppliers or vendors
- Your unauthorized sharing of account credentials
12. User Conduct
12.1 Prohibited Activities
You agree NOT to:
- Use the Services for any illegal purpose or in violation of any laws
- Provide false, misleading, or inaccurate information about your identity or eligibility
- Misrepresent your relocation status or employment to gain unauthorized access
- Impersonate any person or entity
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any accounts, systems, or networks
- Use automated tools (bots, scrapers, etc.) to access the Services without our permission
- Circumvent any access controls, spending limits, or usage policies
- Upload viruses or malicious code
- Harass, abuse, or harm other users or LumpSum Plus personnel
- Use the Services to send spam or unsolicited communications
- Attempt to withdraw or redirect wallet funds as personal cash
- Share your account credentials or allow unauthorized account use
- Engage in fraud or misrepresentation regarding program benefits
12.2 Consequences
Violation of these conduct rules may result in immediate termination of your account, forfeiture of any wallet balances, recovery actions, and potential legal action.
13. Intellectual Property
13.1 LumpSum Plus Intellectual Property
The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof) are owned by LumpSum Plus or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.
13.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes in accordance with these Terms. This license does not include the right to:
- Modify or copy the Services or any content
- Use any data mining, robots, or similar data gathering tools
- Download any content unless explicitly permitted
- Use the Services for any commercial purpose without our written consent
13.3 Trademarks
"LumpSum Plus," our logo, and other marks are trademarks of LumpSum Plus, Inc. You may not use these marks without our prior written permission.
13.4 Your Content
You retain ownership of Content you submit to the Services. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content in connection with providing and improving the Services.
14. Privacy and Data
14.1 Privacy Policy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to our data practices as described in the Privacy Policy.
14.2 Data Retention
As described in our Privacy Policy, we retain certain transactional data for legal, regulatory, and operational purposes even after account closure. This includes account records, transaction history, wallet usage, and communications related to completed transactions.
14.3 Employee Data (B2B)
For B2B Programs, employee data provided by the Program Sponsor will be retained and processed in accordance with the Privacy Policy. Employee data will not be shared with third parties except as necessary to provide Services or as required by law.
14.4 Communications
By creating an account, you consent to receive electronic communications from us, including transactional emails, service updates, and promotional messages. You may opt out of promotional communications at any time, but you cannot opt out of transactional communications related to your use of the Services.
15. Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
15.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@lumpsumplus.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.
15.2 Binding Arbitration
If we cannot resolve the dispute informally, you and LumpSum Plus agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (except as set forth below) shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules.
- Location: Arbitration will take place in San Francisco, California, or at another mutually agreed location. You may also elect to participate by phone or video.
- Arbitrator Authority: The arbitrator will have exclusive authority to resolve all disputes and may award any relief that a court could award.
- Costs: For claims under $10,000, LumpSum Plus will pay all arbitration fees. For claims over $10,000, fees will be allocated according to AAA rules.
15.3 Class Action Waiver
YOU AND LUMPSUM PLUS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
15.4 Exceptions to Arbitration
This arbitration agreement does not apply to:
- Claims that may be brought in small claims court
- Actions to enforce intellectual property rights
- Requests for injunctive relief to prevent imminent harm
15.5 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to legal@lumpsumplus.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out.
15.6 Survival
This arbitration agreement will survive termination of your account and these Terms.
16. Termination
16.1 Termination by You
You may close your account at any time by contacting us at support@lumpsumplus.com or through your account settings. Termination does not relieve you of any obligations under these Terms for transactions initiated before termination. For B2C Users, unused wallet funds or Premium subscription fees may be forfeited upon account closure.
16.2 Termination by LumpSum Plus
We may suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice. Reasons for termination may include:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Misrepresentation of eligibility or program status
- Non-payment of fees (for B2B Programs)
- Extended period of inactivity
- Violation of wallet use policies
- At our sole discretion for any reason
16.3 Effect of Termination
Upon termination, your right to use the Services will immediately cease. Wallet balances will be forfeited and may be recovered by the Program Sponsor. We may delete your account data, except as required by law or as described in our Privacy Policy. Sections that by their nature should survive termination will survive, including but not limited to Sections 10, 11, 13, 14, 15, and 19.
17. Force Majeure
LumpSum Plus shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, or severe weather
- War, terrorism, or civil unrest
- Government actions, embargoes, or sanctions
- Epidemics, pandemics, or public health emergencies
- Labor disputes or strikes
- Utility failures or internet outages
- Supplier failures or service disruptions
In such events, we will make reasonable efforts to notify you and resume performance as soon as practicable.
18. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of these Terms. For material changes, we will provide additional notice, such as:
- Email notification to your registered email address
- A prominent notice on our website or within the Services
- Requiring you to accept the updated Terms before continuing to use the Services
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services and close your account.
19. General Provisions
19.1 Governing Law
These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles, except to the extent preempted by federal law.
19.2 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and LumpSum Plus regarding the Services and supersede all prior agreements and understandings.
19.3 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
19.4 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by LumpSum Plus.
19.5 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. LumpSum Plus may assign these Terms without restriction.
19.6 Headings
The section headings in these Terms are for convenience only and have no legal or contractual effect.
19.7 Language
These Terms are written in English. Any translated versions are provided for convenience only. In case of conflict, the English version shall prevail.
